1. Parties & scope
This Memorandum of Understanding ("MOU") is between the Internet Service Provider identified in the Zoni onboarding application ("Partner") and Zoni ("Zoni", "we"). It governs Partner's participation in Zoni's Founding Partner Program while Zoni operates its pilot in Lagos, Abuja and Port Harcourt.
By ticking the MOU checkbox and typing their full name during onboarding, an authorised representative of Partner confirms they accept the commitments in this document on Partner's behalf.
2. Pilot term & pricing
Listing on Zoni is free throughout the pilot. There are no listing fees, per-lead fees, or subscription charges for the duration of the Founding Partner Program.
Zoni will give Partner at least 30 days' written notice (email + in-app) before introducing any paid pricing, and Partner may exit the program before those changes take effect without penalty.
3. Honest-coverage commitment
Partner will only publish coverage zones where it can, in good faith, install service for a new customer within its published lead time. Speculative coverage, "coming soon" polygons, or zones dependent on unbuilt infrastructure are not permitted.
Repeated misrepresentation of coverage — established via customer complaints, failed installs, or Zoni audits — will result in warning, then suspension, then removal from the platform.
4. Monthly reconfirmation
Once per calendar month, Partner will reconfirm each active coverage zone via the one-click reconfirmation flow in the Partner dashboard.
Zones that go 30 days without reconfirmation are automatically hidden from customer search results until Partner reconfirms them. Zones hidden for more than 60 days may be archived.
5. Lead response SLA
Partner will provide a first response to each new lead within 48 hours (excluding public holidays) via the Zoni lead inbox. First response means moving the lead status out of "received" — for example to contacted, scheduled, or declined-with-reason.
Persistent SLA breaches (three or more unresponded leads within a rolling 30-day window) may trigger suspension pending review.
6. Data & privacy
Partner remains the owner of its ISP profile, plans and coverage geometry. Zoni acts as the platform operator and processes customer lead data on Partner's behalf for the purpose of connecting customers to service, subject to the Zoni Privacy Policy.
Partner will handle customer contact details only for the purpose of fulfilling the lead and will not use them for unrelated marketing without the customer's separate consent.
7. Reviews & moderation
Verified customers may leave public reviews after an install is marked complete. Zoni's moderation team can flag, hide, or remove reviews that are abusive, off-topic, or clearly fraudulent, and will do so on request when Partner supplies reasonable evidence.
Zoni does not remove reviews solely because they are negative. Partner may reply publicly to any review.
8. Suspension & termination
Either party may end this MOU at any time on 14 days' written notice. Zoni may suspend Partner immediately for material breach — including coverage misrepresentation, SLA breach patterns, or unlawful conduct — while a review is carried out.
On termination, Partner may request an export of its profile, plans, coverage geometry and lead history; Zoni will provide it within 30 days.
9. Changes to this MOU
Zoni may update this MOU. Material changes will be communicated by email and in-app notice at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the updated MOU.
